Understand your rights and responsibilities as a CloudWeld client.
These terms outline the scope of our services, client obligations, and limitations of liability.
Scope of Services
CloudWeld provides cloud consulting, migration, analytics, and managed services as described in your signed Statement of Work (SOW).
Client Responsibilities
Clients must provide accurate information, timely access, and necessary resources to enable successful project delivery.
Fees & Payment
Fees are outlined in your SOW. Invoices are due within 30 days unless otherwise agreed. Late payments may incur interest or service suspension.
Confidentiality
Both parties agree to protect confidential information and not disclose it except as required by law or with written consent.
Intellectual Property
Deliverables created for the client are owned by the client upon full payment, except for pre-existing CloudWeld IP and open-source components.
Limitation of Liability
CloudWeld is not liable for indirect, incidental, or consequential damages. Total liability is limited to the fees paid for the relevant services.
Governing Law
These terms are governed by the laws of Illinois, USA. Disputes will be resolved in Chicago courts unless otherwise agreed.
