Who these terms are with

These terms are between you and Cloud Weld LLC ("CloudWeld", "we"), based in Chicago, Illinois. By using cloudweld.ai you agree to the parts about the website. The parts about client work apply when you hire us, together with the written proposal you accept. If the proposal and these terms disagree, the proposal wins.

Using this website and its free tools

You may use the website and its free tools (the website check, the page reader and the llms.txt draft tool) to review websites you own or have permission to check. Please do not use them to overload a website, get around its protections or collect data you are not allowed to collect.

The tools read public pages at the moment you run them and report what they find. Their results are information to help you decide what to fix, and they do not predict search rankings, AI recommendations or sales. We provide the website and tools as they are, and we may change or stop them at any time.

What we do for clients

We move business websites onto infrastructure the client owns, connect them to the client's tools, make them easier for search engines and AI assistants to read, and run them on a monthly plan. We also build AI assistant integrations for software products. Your written proposal sets out the work, the fixed project price, the monthly plan, the go-live date and the guarantees that apply to you.

What we need from you

Accurate information about your business, access to the accounts and tools the work depends on, and timely review of the preview and your business facts. When we wait on access or approvals, the go-live date moves by the same amount.

Fees and payment

Fees are set out in your proposal. Invoices are due within 30 days unless your proposal says otherwise. Late payments may incur interest or a pause in service. Third-party costs, such as your CRM, phone minutes, AI usage or cloud hosting, are billed to your own accounts by those providers.

The monthly plan

The monthly plan starts at launch and runs month to month, and your proposal sets out the changes it includes each month. You can end it as your proposal describes. When you leave, your website, code, domain and accounts are already in your name, and we hand over the documentation.

Ownership

You keep everything we build for you. The domain, hosting and other accounts we set up for you are in your name from the start, and the code and content we create for you become yours once the invoice for that work is paid. Tools and code we had before your project, and open-source components, stay with their owners and are licensed to you as needed to run your website.

AI features and third-party services

AI receptionists, chat and other AI features can make mistakes, so we set them up with your rules and you approve what they say before customers hear it. They run on third-party services such as phone, AI and CRM providers, whose own terms apply and whose changes or outages are outside our control. Ooky, our separate product, has its own terms on ooky.ai.

Search and AI results

We can make your website fast, readable and accurate, and we measure how often you appear in search and AI answers. Search engines and AI assistants decide what to show, so we do not promise rankings, indexing or recommendations. The guarantees that apply to your project are the ones written in your proposal.

Confidentiality

Both of us will protect the other's confidential information and not disclose it except as required by law or with written consent. We do not name our clients or share their details without permission.

Limitation of liability

CloudWeld is not liable for indirect, incidental or consequential damages. Our total liability is limited to the fees paid for the services in question.

Governing law

These terms are governed by the laws of Illinois, USA. Disputes will be resolved in the courts of Chicago, Illinois, unless we agree otherwise in writing.

Changes to these terms

When we change these terms, we update the date at the top of this page. The terms in your signed proposal stay in place for your project.
